2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using our Services, you represent and warrant that you meet these requirements.

2.2 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Maintain the security of your credentials
• Accept responsibility for activities under your account
• Notify us immediately of unauthorized use

3.1 Placing Orders

By placing an order, you agree to pay all charges in effect at the time of purchase, including applicable taxes, fees, and delivery costs.

We reserve the right to refuse, suspend, or cancel any order at our discretion, including suspected fraud or abuse.

3.2 Pricing

Prices may change without notice. We may modify or discontinue any Service or product at any time. Displayed prices may exclude taxes and processing fees.

3.3 Payment

Payment is required at the time of order placement. You authorize Cheerio to charge your selected payment method. For subscription or recurring services, you authorize recurring charges where applicable.

4.1 Physical Gifts

We make reasonable efforts to deliver physical gifts within stated timeframes. Delivery estimates are not guarantees. Risk of loss transfers upon confirmed delivery to the recipient. You are responsible for providing accurate recipient details.

4.2 Digital Products & Countdown Experiences

Digital products include but are not limited to:

• Digital vouchers
• Countdown gifting experiences
• Subscription-based gifting
• Scheduled or recurring digital deliveries

Delivery of digital products is deemed complete when the digital link is successfully sent, the scheduled countdown begins, or the first reward becomes accessible. Once delivery begins, the product is considered activated.

5.1 Physical Orders

Physical orders may be cancelled within 24 hours of placement if not yet processed for shipment. Refund requests must be made within 14 days of delivery. Custom or personalized items are non-refundable unless defective.

Refunds may be issued for:

• Damaged or defective items
• Incorrect items
• Verified non-delivery

5.2 Digital Products & Countdown Refund Policy

Because digital products are immediately accessible and irrevocable once activated, refunds are limited.

We reserve the right to issue store credit instead of cash refunds where appropriate.

5.3 Subscription & Recurring Services

For recurring countdowns:

• You are responsible for selecting correct dates
• Confirmation may be required before each cycle
• If confirmation is not received, delivery may not occur and you will not be charged unless auto-renew is enabled
• Refunds are not issued for completed cycles

5.4 Chargebacks & Payment Disputes

Initiating a chargeback for a valid digital delivery may constitute abuse. If a chargeback is filed after digital delivery has occurred or a voucher has been revealed, we reserve the right to suspend your account, block future purchases, provide evidence of digital delivery and activation, and recover associated fees.

Some rewards are fulfilled by third-party vendors. Such vouchers are subject to the vendor's redemption policies, expiry dates, service availability, and terms and restrictions.

Cheerio is not liable for:

• Vendor operational interruptions
• Vendor policy changes
• Vendor refusal of service consistent with their terms

If a vendor becomes unavailable, we may substitute with an equivalent or higher value option, or issue Cheerio Wallet credit.

Voucher validity periods vary by partner and are displayed upon reveal. Expired vouchers are non-refundable unless caused by a verified system error attributable to Cheerio.

All content, software, branding, and platform materials are the property of Cheerio or its licensors and protected by applicable laws.

Unauthorized reproduction, modification, or distribution is prohibited.

You agree not to:

• Use the Services unlawfully
• Impersonate others
• Interfere with platform functionality
• Attempt unauthorized access
• Transmit harmful code
• Engage in scraping or automated data collection
• Abuse refund or dispute mechanisms

To the fullest extent permitted by law, Cheerio shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, goodwill, or data
• Third-party vendor issues

Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

You agree to indemnify and hold Cheerio harmless from any claims arising from:

• Your use of the Services
• Violation of these Terms
• Payment disputes initiated in bad faith

We may suspend or terminate access to Services at any time, including for:

• Fraud
• Policy abuse
• Chargeback misuse
• Violation of Terms

Upon termination, your right to use the Services ceases immediately.

These Terms are governed by the laws of Federal Republic of Nigeria.

Disputes shall be resolved through binding arbitration in accordance with the rules of Nigeria, except where injunctive relief is required.

We may modify these Terms at any time. Continued use of Services after updates constitutes acceptance.

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Cheerio regarding the Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision is invalid, the remainder remains enforceable.

15.3 Waiver

Failure to enforce any provision does not constitute waiver.
